1. INTRODUCTION

Welcome to the Bigmunch Wealth Circle (BWC) Marketplace. These Terms and Conditions ("Terms") govern your use of the BWC website and platform ("Platform"). By accessing or using the Platform, you agree to comply with and be bound by these Terms.

2. DEFINITIONS

"BWC" or "we/us/our" refers to Bigmunch Network Services, operator of the BWC Marketplace.
"Vendor" means any individual or business who registers to sell products through the Platform.
"Partner/User/Customer" refers to anyone accessing the Platform to browse, purchase, or refer products.

3. ROLE OF BWC

BWC operates as a neutral digital marketplace. Vendors are responsible for their products, regulatory compliance, invoicing, customer service, delivery, and dispute handling. BWC only facilitates the transaction process and marketplace access.

4. ACCOUNT REGISTRATION

All Vendors must:
* Complete the onboarding process
* Submit valid regulatory documents (e.g., CAC, NAFDAC, TIN)
* Agree to these Terms

BWC reserves the right to approve, reject, suspend, or terminate vendor accounts.

5. COMMISSIONS AND FEES

* Vendors may be charged a commission per sale and/or subscription fees.
* Fees and commissions are communicated during onboarding and may be updated with notice.

6. PRODUCT LISTINGS

Vendors must:
* Ensure listings are accurate and lawful
* Not sell prohibited or unregistered products
* Remain compliant with local and export regulations

BWC may remove listings that violate policies or laws.

7. PAYMENT TERMS

* BWC disburses vendor earnings (less commissions) per stated schedule.
* Partners/customers are to use approved payment channels.
* Disputes on payments must be raised within 7 business days.

8. LIMITATION OF LIABILITY

BWC is not liable for:
* Vendor fraud, misrepresentation, or delivery failure
* Product defects or health claims
* Third-party service interruptions

Users agree to indemnify BWC against claims from their misuse or violation of these Terms.

9. SUSPENSION & TERMINATION

BWC may suspend or terminate accounts for:
* Breach of these Terms
* Illegal or unethical activities
* Complaints or repeated disputes

10. GOVERNING LAW

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved through mediation or before competent courts in Nigeria.

11. CHANGES TO TERMS

BWC may update these Terms at any time. Users will be notified via email or website notice. Continued use of the Platform after changes implies acceptance.
